If a platform will not talk openly about what can go wrong, that is itself a risk factor. Accredited investors are expected to evaluate private offerings independently - and that evaluation starts with risk.

What Is the Biggest Risk in Fractional Solar Investing?

Illiquidity is the single most important risk to understand before investing in fractional solar projects, and it is the one most investors underestimate.

When you purchase membership units in a fractional solar offering, your capital is locked for the duration of the underlying Power Purchase Agreement โ€” typically 10 to 25 years. There is no public exchange where you can sell your units. There is no guaranteed secondary market. If you need that capital back in two years, you likely cannot get it.

This is fundamentally different from stocks, bonds, or REITs. If you own shares of a solar ETF and need liquidity, you can sell in seconds at the current market price. Fractional solar does not work that way. The trade-off is that you receive monthly cash distributions from actual energy sales rather than market-driven price appreciation โ€” but you give up the ability to exit on demand.

The practical implication: do not invest capital you may need access to within the stated investment tenure. Fractional solar should be treated as a long-duration allocation, similar to private equity or a long-term infrastructure fund. If the lock-in period does not fit your liquidity needs, this is not the right asset class โ€” regardless of how attractive the returns look.

What Happens If the Electricity Buyer Defaults on the PPA?

Power Purchase Agreement counterparty risk โ€” the risk that the entity buying electricity from the solar project fails to pay โ€” is one of the most discussed risks in Indian solar investing.

To evaluate this risk properly, you need to distinguish between two very different types of PPAs: DISCOM PPAs and C&I (Commercial & Industrial) PPAs.

DISCOM PPAs are agreements where the electricity buyer is a state-owned distribution company. DISCOMs are the backbone of India's power distribution system, but many are in poor financial health. Payment delays of 60 to 120 days are common. In extreme cases, state governments have attempted to retroactively renegotiate PPA tariffs โ€” the most notable example being Andhra Pradesh in 2019, where the state government attempted to force solar and wind developers to accept tariffs of โ‚น2.43-2.44 per unit on contracts originally signed at โ‚น2.72 to โ‚น5.99 per unit. The Andhra Pradesh High Court ultimately upheld the sanctity of the original PPAs in a March 2022 ruling, but the dispute froze lending and development activity in the state for nearly three years. The MNRE explicitly stated that signed PPAs are "sacrosanct and cannot be renegotiated unless there is a clause to do so in the agreement or a case of corruption has been approved."

C&I PPAs - where the buyer is a private commercial or industrial electricity consumer - carry a different risk profile. C&I buyers typically pay higher tariffs than DISCOMs (because they are displacing even more expensive grid power), and payment discipline tends to be better because the buyer has a direct economic incentive to maintain the contract. The risk is concentrated in the creditworthiness of the specific buyer: a large, profitable manufacturer is a very different counterparty than a small business with thin margins.

The good news first: India's central government policy environment for solar has been strongly and consistently supportive for over a decade. Recent examples include the GST reduction on solar equipment from 12% to 5% in September 2025, the extension of customs duty exemptions for lithium-ion battery manufacturing capital goods in the February 2026 Union Budget, continued expansion of Production-Linked Incentive (PLI) schemes for domestic solar manufacturing, and an aggressive renewable energy capacity addition target of 500 GW of non-fossil fuel capacity by 2030. At the central level, the policy trajectory is clearly aligned with solar expansion.

The risk sits primarily at the state level. Indian states have significant authority over electricity regulation, open access charges, cross-subsidy surcharges, and DISCOM operations. This creates regulatory fragmentation โ€” what is true in Rajasthan may not be true in Tamil Nadu.

The Andhra Pradesh episode described above is the most extreme example, but it is not the only one. Several states have periodically adjusted open access charges or introduced additional levies that affect the economics of solar power procurement. For investors in C&I solar projects, changes to open access surcharges can directly impact the competitiveness of solar power relative to grid electricity, which in turn affects the long-term viability of the PPA.

The mitigant is that India's central regulatory framework - including the Electricity Act 2003, MNRE's position on PPA sanctity, and judicial precedent from cases like the Andhra Pradesh High Court ruling - provides a strong legal backstop. But legal protection and practical execution are not the same thing. Payment delays, bureaucratic friction, and evolving state-level rules are real operating conditions that affect project economics even when the legal framework is favorable.

What If the Solar Project Underperforms?

Project performance risk is the risk that the solar plant generates less electricity than projected, directly reducing revenue and investor distributions.

Several factors can cause underperformance. The most common is lower-than-expected solar irradiance โ€” essentially, less sunlight than the resource assessment predicted. Solar resource assessments use historical weather data and satellite imagery to estimate expected generation, but actual conditions vary year to year. Monsoon seasons in India (June through September) consistently reduce generation, and annual variability of 5-10% around the long-term mean is normal.

Equipment degradation is a slower but inevitable factor. Solar panels lose roughly 0.5-0.7% of their output capacity per year due to natural degradation of photovoltaic cells. Over a 25-year PPA, cumulative degradation can reduce output by 12-17% compared to year-one performance. Well-structured financial projections account for this degradation curve, but the rate can vary depending on panel quality, operating temperatures, and maintenance practices.

Grid curtailment is an emerging risk as India's solar capacity scales rapidly. Curtailment occurs when the grid operator instructs a solar plant to reduce or stop generation because the grid cannot absorb all the power being produced. CRISIL, a major Indian credit rating agency, has flagged a potential 35 GW curtailment risk in India by 2030 if transmission infrastructure does not keep pace with generation additions. For individual projects, curtailment means lost revenue - electricity that could have been generated and sold is simply not produced.

Other performance risks include inverter failures, soiling (dust accumulation on panels reducing efficiency), and damage from extreme weather events. These are typically managed through professional O&M (Operations & Maintenance) contracts with defined response times and performance SLAs, comprehensive insurance coverage for natural disasters and equipment failure, and real-time monitoring systems that detect anomalies and alert operators immediately.

The key question for investors: does the platform provide transparent, real-time access to generation data so you can track actual performance against projections? If the answer is no, you are investing blind.

Are There Risks Specific to Cross-Border Solar Investments?

Yes - and they layer on top of the project-level risks described above.

Repatriation risk is the risk that regulatory changes in India restrict the ability to move funds out of the country. India's Foreign Exchange Management Act (FEMA) governs cross-border capital flows, and the Reserve Bank of India (RBI) sets rules for foreign investment in Indian entities. Currently, the repatriation framework is well-established and widely used by foreign investors across sectors. However, regulatory frameworks can change, and any tightening of capital account controls could affect the timing or mechanism of investor distributions.

Tax treaty risk relates to the US-India Double Taxation Avoidance Agreement (DTAA), which governs how income from Indian investments is taxed for US residents. Changes to the DTAA - or to domestic tax laws in either country - could alter the after-tax return on your investment. Tax treaties are generally stable, but they do get renegotiated, and the current DTAA between the US and India has been in place since 1991 with amendments.

Information asymmetry is a practical risk in cross-border investing. The solar project is physically located in India, managed by an Indian SPV, and subject to Indian regulations. The most common mistake investors make when evaluating solar risk is comparing it to equity market risk. They are fundamentally different categories.

Stock market risk is primarily driven by sentiment, earnings expectations, macroeconomic cycles, and liquidity conditions. A solar stock can drop 40% in a quarter because analysts downgraded the sector โ€” even if every solar plant in the world is operating perfectly.

Fractional solar risk is infrastructure risk: operational (will the plant produce as expected?), contractual (will the buyer pay?), regulatory (will the rules change?), and currency-based (what will the exchange rate do?).
